Purpose
This Independent Contractor Policy outlines the standards and expectations for all non-employee individuals providing services, instruction, or business activities under the Grinder Gym brand or within its facilities. The goal is to ensure alignment with Grinder Gym’s values, brand integrity, and operational standards while maintaining legal separation between independent contractors and employees of Dave DePew Enterprises, Inc.
This policy applies to, but is not limited to:
- Personal trainers renting space
- Coaches or specialists running classes or programs
- Therapists or bodyworkers providing wellness services
- Independent educators, speakers, or workshop facilitators
- Vendors or collaborators working within Grinder Gym facilities
- Volunteers
Independent Contractor Status
All individuals operating under this policy are considered independent contractors, not employees. Nothing in this agreement shall be interpreted as creating an employer-employee relationship, partnership, joint venture, or agency. Contractors are responsible for:
- Paying their own taxes (including self-employment tax)
- Carrying appropriate liability insurance
- Obtaining any necessary business licenses or certifications
- Handling their own marketing, scheduling, and client payments (unless otherwise agreed in writing)
- Managing their own schedules
Use of Facilities and Branding
Contractors may operate within Grinder Gym’s physical location under the following terms:
- A current, signed rental or use agreement must be on file
- Use of the facility must comply with Grinder Gym scheduling and space availability
- Contractors may not represent themselves as staff, employees, or agents of Grinder Gym
- Contractors must obtain prior written approval before using the Grinder Gym name, logo, or likeness in any marketing or public material
Grinder Gym reserves the right to approve or deny any individual or business from using its facilities or affiliating with its brand based on conduct, professionalism, or service quality.
Client Responsibility
Independent contractors are responsible for:
- Acquiring and maintaining their own clientele
- Communicating all terms of service, pricing, cancellations, and liability waivers to their clients
- Managing disputes, billing issues, and client support independently
- Ensuring that all clients sign Grinder Gym’s general liability waiver prior to using the facility
Contractors may not solicit clients from other trainers, members, or staff without consent. Poaching or client theft will result in immediate termination of access and partnership.
Code of Conduct
Contractors are expected to uphold the Grinder Gym Code of Conduct, including:
- Maintaining a professional appearance and demeanor
- Respecting shared spaces, equipment, and scheduled time slots
- Following all facility rules and safety protocols
- Avoiding any conduct that could damage the Grinder Gym brand or community environment
Any violation of gym rules, harassment, unsafe practices, or unethical behavior may result in immediate termination of access.
Insurance Requirements
All independent contractors must provide proof of current professional liability insurance (with minimum coverage of $1 million per occurrence) and name Dave DePew Enterprises, Inc. as an additional insured on the policy.
Contractors must maintain current certifications relevant to their field (e.g., personal training, nutrition coaching, massage therapy) and agree to supply updated credentials upon request.
Indemnification
Contractors agree to indemnify and hold harmless Grinder Gym, Dave DePew Enterprises, Inc., its owners, staff, and agents from any and all claims, damages, losses, or expenses (including legal fees) arising out of or resulting from their services, negligence, or failure to fulfill their responsibilities under this policy.
Termination of Contractor Status
Grinder Gym reserves the right to terminate any independent contractor’s use of the facility or branding, with or without cause, at any time. Likewise, contractors may terminate their agreement with appropriate notice as stated in the individual rental or use agreement.
Non-Compete and Confidentiality
Contractors may not use confidential or proprietary information obtained through their relationship with Grinder Gym to create competing services or solicit clients in violation of their agreement. Contractors who leave Grinder Gym may not use its client database, marketing materials, or proprietary content in any capacity without written permission.
Acknowledgment and Agreement
All independent contractors must sign an acknowledgment form indicating they have read, understood, and agreed to the terms of this policy, as well as any facility-specific rental or service agreements.
